Terms of Service

Welcome to Parchment. These Terms of Service ("Terms") are a binding agreement between you and Marlin Design Co. LLC, a [STATE]-registered limited liability company ("Parchment," "we," "us," or "our"), governing your use of parchmentdirectory.com and any related services we provide (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms. If you're agreeing on behalf of a church, organization, or other entity, you confirm that you have authority to bind that entity, and "you" refers to that entity.

1. The Service

Parchment is a software tool that lets you generate printable membership directories from member data you already maintain in Planning Center Online ("PCO"). You connect your PCO account, configure a directory, and Parchment produces a print-ready PDF.

We may add, modify, or remove features over time. We'll give reasonable notice for changes that materially reduce functionality you're paying for.

2. Your Account

You're responsible for everything that happens under your account, including keeping your login credentials secure and ensuring anyone you invite as an admin has authority to access your member data.

You must be at least 18 years old to create an account. You must provide accurate registration information and keep it current.

3. Subscription, Billing, and Refunds

Paid plans are billed monthly or annually through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Refunds. You may request a full refund of your most recent payment within 30 days of the charge by emailing hello@parchmentdirectory.com. After 30 days, payments are non-refundable, but you can cancel at any time and your plan will remain active through the end of your current billing period.

Price changes. We'll give at least 30 days' notice before any price increase, and you can cancel before the new price takes effect.

Taxes. Prices do not include sales tax, VAT, or similar taxes, which you are responsible for where applicable.

4. Acceptable Use

You agree not to:

  • Use the Service to upload, store, or transmit data you don't have the right to use, including member data you haven't obtained appropriate consent for
  • Reverse-engineer, scrape, or attempt to extract source code from the Service
  • Use the Service to send spam or unsolicited communications
  • Interfere with the Service's operation or security
  • Resell, sublicense, or white-label the Service without our written permission
  • Use the Service in violation of any law, including data-protection and anti-discrimination laws

5. Your Data

You own all member data, photos, and other content you upload or sync into Parchment ("Your Data"). You grant us a limited, non-exclusive license to process Your Data solely to provide the Service to you.

We do not use Your Data to train artificial intelligence or machine-learning models, ever. Your Data is not used for any purpose other than operating the Service for you.

You are responsible for obtaining any consents required from your members before adding their information to a directory, and for the lawful basis on which you process their personal data.

6. Planning Center Integration

The Service integrates with Planning Center Online via OAuth. By connecting your PCO account, you authorize us to access the data you've granted us permission to read. We do not write to or modify your PCO records. Your use of Planning Center is governed by Planning Center's own terms — we are not affiliated with or endorsed by Planning Center.

7. Intellectual Property

The Service, including its software, design, branding, and content (other than Your Data), is owned by Marlin Design Co. LLC and protected by copyright, trademark, and other laws. We grant you a non-exclusive, non-transferable license to use the Service in accordance with these Terms.

PDFs generated through the Service are yours to use, print, and distribute for your organization's purposes.

8. Termination

You may cancel your subscription at any time from your account settings or by deleting your account. We may suspend or terminate your account if you materially violate these Terms.

Account deletion is immediate and permanent. When you delete your account, we delete your data — including all directories, member records, and account information — without a recovery window. Generated PDFs you've already downloaded are unaffected.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any data will not be lost. Back up anything you can't afford to lose.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MARLIN DESIGN CO. LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $100.

11. Indemnification

You agree to indemnify and hold harmless Marlin Design Co. LLC from any claims, damages, or expenses arising from (a) your use of the Service, (b) Your Data, or (c) your violation of these Terms or any law.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll notify you by email or in-app at least 30 days before they take effect. Continuing to use the Service after changes take effect means you accept the new Terms.

13. Governing Law

These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in [COUNTY], [STATE], and you consent to the jurisdiction of those courts.
